given that most societies never meet and usually cook up the minutes once a 
year, this is legal enough. I will draft the resolution and put it up. You 
guys sign. Then I take a print out and certify it as a true copy and the deed 
is done. Since this is only a formality, no need for IRC discussion. We can 
have that in future for committee meetings if necessary.
